These Terms & Conditions (“Terms”) govern your use of the Agent Referral Co. (“ARC,” “Company,” “we,” “our,” or “us”) website and services.
By accessing or using our website and services, you agree to be bound by these Terms.
1. Description of Services
Agent Referral Co. (ARC) provides a platform that allows real estate professionals to submit and receive client referrals and earn referral fees upon successful closing.
ARC facilitates introductions between referring agents and receiving agents but is not a party to any real estate transaction.
2. Eligibility
By using ARC, you represent and warrant that:
• You are at least 18 years of age
• You are a licensed real estate professional in good standing (if submitting or receiving referrals)
• You have the authority to enter into referral agreements
• All information you provide is accurate and complete
3. Referral Process
• Referrals may be submitted through ARC at no cost
• Referral fees are typically up to 25%, but are not guaranteed
• Referral fee agreements are ultimately between the referring agent and receiving agent/broker
• ARC may assist in coordinating referral terms but does not guarantee acceptance or completion of any referral
4. No Guarantee of Results
ARC does not guarantee:
• That a referral will result in a transaction
• That any transaction will close
• That any specific commission or referral fee will be earned.
All outcomes depend on the parties involved in the transaction.
5. Compensation & Payments
• Referral fees are earned only upon successful closing of a transaction
• Payment of referral fees is the responsibility of the receiving broker/agent, not ARC, unless otherwise agreed in writing
• ARC may receive a portion of the referral fee as part of its service model
6. User Responsibilities
You agree to:
• Act in good faith and in compliance with all applicable real estate laws and regulations
• Maintain active licensure where required
• Communicate professionally with clients and other agents
• Not misuse the platform for fraudulent, misleading, or unethical activity
7. Prohibited Use
You may not:
• Submit false or misleading referral information
• Use ARC for unlawful purposes
• Attempt to bypass ARC to avoid agreed referral structures (if applicable)
• Interfere with the operation or security of the website
8. Independent Contractor Relationship
All users of ARC are independent contractors. Nothing in these Terms creates:
• A partnership
• Joint venture
• Employment relationship
ARC does not supervise or control the actions of agents or brokers.
9. Limitation of Liability
To the fullest extent permitted by law, ARC shall not be liable for:
• Any indirect, incidental, or consequential damages
• Loss of income, commissions, or business opportunities
• Disputes between agents, brokers, or clients
Your use of ARC is at your own risk.
10. Indemnification
You agree to indemnify and hold harmless ARC from any claims, damages, liabilities, or expenses arising from:
• Your use of the platform
• Your violation of these Terms
• Any referral or transaction you are involved in
11. Intellectual Property
All content, branding, and materials on this website are the property of ARC and may not be copied, reproduced, or used without permission.
12. Termination
We reserve the right to suspend or terminate your access to ARC at any time, without notice, for violation of these Terms or for any other reason at our discretion.
13. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the State of [Insert State], without regard to conflict of law principles.
